OFFICIAL CONTEST RULES
SEASON TWO – ROUND ONE
NO PURCHASE NECESSARY.

1. HOW TO ENTER THE CONTEST: a. The nomination period for the “TribLocal Charity of Choice” contest (“Contest”) will begin February 9 at 7AM (CT) and end February 22, 2012 at noon (CT) (“Nomination Period”). b. Charitable organizations may be nominated via email. Nominations must be received during the Nomination Period. c. The Nomination must be submitted by email to triblocalcontests@tribune.com and must include the organization’s name, as well as a short description (no more than 50 words and in English) about why the organization is being nominated, and a photo or logo (the “Nomination”). In order to be eligible, a nominated charity must have a significant impact on the Chicagoland area. For example, a charity with an international focus that has little or no direct impact on the Chicagoland area would not be eligible. d. TribLocal staff will select and post the finalists (the “Finalists”) online at www.triblocal.com on or about the February 23, 2012. Provided a sufficient number of Nominations are received, TribLocal staff will choose 6 Finalists based on the charities’ demonstrated impact on the Chicagoland area. The determination of Finalists will be in the sole discretion of TribLocal staff. e. The Finalists will be posted at www.triblocal.com for online voting between 7am (CT) on February 23, 2012 and 9pm (CT) on March 7, 2012 (the “Contest Period”). To vote for a nominee, log onto www.triblocal.com during Contest Period and click on a specified URL. An online vote will be deemed received when Sponsors’ website server records the entry data.

2. Conditions Applicable to All Voting: Limit one vote per person, every 24 hours. All voters must be located in the United States at the time they cast their vote. Proxy voting is not allowed. This includes but is not limited to creating multiple or dummy emails. No one may purchase votes. The use of automated or third party software or web site to vote is prohibited. Sponsors reserve the right to disqualify any votes cast in violation of the above restrictions.

3. Nominations: You must be 18 or older to submit a Nomination. By submitting a Nomination, the nominator represents and warrants that the Nomination submitted: is the original creation of the nominator; has not been copied in whole or in part from any other work; contains no defamatory, threatening, obscene, harassing or otherwise unlawful material; has never been previously published or submitted to any other competition; does not violate or infringe any copyright, trademark, or other proprietary or privacy or publicity right of any person or entity; and is the exclusive property of the nominator or that the nominator has all necessary rights to submit the Nomination. Nominator further represents and warrants that no laws were broken in the creation of the Nomination. If a nominator breaches any of these representations and warranties, or any of the Contest Rules, he or she is solely responsible for injury caused by the breach. Violation of any of these representations and warranties shall be cause for disqualification. Nominator agree to indemnify, defend and hold Sponsors harmless against any and all liabilities, losses, damages, claims, debts, investigations, fines, penalties, costs, expenses and settlements (including attorneys’ fees and costs of litigation, settlement, judgment, interest and penalties) arising out of or related to a breach of the foregoing representations and warranties. Nominators grant to Sponsors a world-wide, non-exclusive, royalty-free, perpetual license to use their Nominations, in any manner related to the Contest, without prior notice, approval or compensation, including display on Sponsors’ websites and in TribLocal.

4. AWARD/DONATION: A $500 donation will be made to the finalist that receives the most valid votes. The monetary donation will be mailed to the charity within eight weeks of the end of the Contest. The winning charity may be required to sign and return a release prior to awarding of prize. Sponsors are not responsible for the safe arrival of a donation.

5. CONDITIONS/RESTRICTIONS: a. All decisions of Sponsors with respect to the Contest are final and binding. b. Sponsors, in their sole discretion, reserve the right to disqualify any person tampering with the nomination and/or voting process or the operation of Triblocal.com web site or who is otherwise in violation of the rules or who acts: (i) in a manner the Sponsor determines to be not fair or equitable; (ii) with an intent to annoy, threaten or harass any other entrant or Sponsor; or (ii) in any other disruptive manner. Sponsors further reserve the right to cancel, terminate or modify the Contest if it is not capable of completion as planned, including infection by computer virus, bugs, tampering, unauthorized intervention or technical failures of any sort. In the event Sponsors do so, they will post notice of their action on the Contest website. In addition, in the event the Contest is cancelled during a voting phase, the Charity of Choice will be the Finalist with the most valid votes received as of the time and date of termination. c. Sponsors are not responsible for votes not received due to difficulty accessing the Internet, service outages or delays, computer difficulties or other technological glitches or for lost, stolen, deleted, garbled, misdelivered, incomplete or late Nominations. d. Sponsors reserve the right to substitute prizes of equivalent or greater value, which will become effective upon announcement. e. Failure to comply with the Contest rules or to engage in conduct that violates the spirit of the Official Rules may result in a nominee, Finalist or voter’s disqualification at the sole discretion of Sponsors. f. Sponsors are not responsible for typographical or other errors in the printing, the offering or the administration of the Contest or in the announcement of the prize. Neither the failure of Sponsor to insist upon or enforce strict performance of any provision of these Official Rules or the failure, delay or omission by Sponsor in exercising any right with respect to any term of these Official Rules, will be construed as a waiver or relinquishment to any extent of Sponsor’s right to assert or rely upon any such provision or right in that or any other instance. g. Copies of the written Contest rules and a list of the winner (when complete) will be available on www.triblocal.com. h. Information submitted in conjunction with the Contest will be treated in accordance with TribLocal’s terms of use and privacy policy, which are set forth at the bottom of the www.triblocal.com webpage.
